Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of TRACX’s AI chat research platform, websites, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you agree to these Terms for that organisation and represent that you have the authority to bind it.

1) Overview of the Services

TRACX provides tools for brands and researchers to run conversational studies (“Campaigns”) with participants. The Services include chat interfaces, campaign management, analytics, rewards/wallet features, and related functionality. TRACX may improve or modify the Services at any time, provided such changes do not materially reduce core functionality without reasonable notice.

2) Eligibility and accounts

  • You must be at least the age of legal majority in your jurisdiction to create an account, or have parental/guardian consent as required by law and our policies.
  • You are responsible for your account credentials and for all activity under your account. Notify us of unauthorised use immediately.
  • You agree to provide accurate information and keep it updated, including contact details needed for important notices.

3) Roles and responsibilities

Depending on context, TRACX may act as a service provider/data processor to business customers (e.g., brands) for Campaign data, and as a business/data controller for platform operations, accounts, analytics, and billing. Customers are responsible for obtaining any necessary notices/permissions from participants for their Campaigns and for complying with applicable laws and research ethics.

4) Your use of the Services

  • Use the Services only in compliance with applicable laws.
  • Do not attempt to probe, scan, or test the vulnerability of the Services or circumvent any security or access control.
  • Do not misuse the Services, including by introducing malware, interfering with normal operations, scraping without permission, or attempting to access data you do not own or control.
  • Do not submit unlawful, defamatory, infringing, or otherwise harmful content. You retain responsibility for your content and representations in Campaigns.
  • Any use of third-party data must comply with applicable licenses and rights; you warrant you have the necessary permissions.

5) Content, ownership, and licenses

As between you and TRACX, you retain ownership of content you submit to the Services (“User Content”). For Campaigns, the applicable customer (e.g., the brand running the Campaign) may control rights to data generated in the course of the Campaign, subject to any agreements with participants.

You grant TRACX a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and create derivative works of User Content solely as necessary to provide, secure, operate, and improve the Services, and to comply with law.

TRACX owns all right, title, and interest in and to the Services, including software, models, documentation, and brand elements. No rights are granted except as expressly stated in these Terms.

6) AI features and outputs

The Services may use AI models to facilitate conversations or generate summaries, classifications, or insights. AI outputs may be probabilistic and not always accurate or appropriate. You are responsible for evaluating outputs for your use case. TRACX does not provide legal, medical, or other professional advice through AI features. Where required, customers must provide appropriate disclosure to participants that AI is used.

7) Participant rewards and wallets

If you receive rewards for participation, you agree to provide accurate payout details and comply with any tax or reporting obligations. TRACX may use third-party processors for payouts and does not store full payment card data on its servers. Reward eligibility, amounts, and conditions may be determined by the Campaign owner and communicated to participants.

8) Third-party services

The Services may integrate with third-party services (e.g., storage, analytics, communications, payments). Your use of such services may be subject to their terms and privacy policies. TRACX is not responsible for third-party services it does not control.

9) Confidentiality and data protection

Each party may disclose confidential information to the other in connection with the Services. The receiving party will use reasonable care to protect it and will only use it for purposes of the relationship. TRACX’s privacy practices are described in our Privacy Policy. Where required, we will enter into data processing agreements with business customers to address applicable laws.

10) Fees, taxes, and trials

  • If you purchase paid Services, you agree to pay all fees stated in the order, plus applicable taxes. Fees are non-refundable except as expressly provided.
  • Trials or beta features are provided “as is” without warranty and may be modified or discontinued at any time.

11) Warranty disclaimer

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. TRACX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

12) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER TRACX NOR ITS AFFILIATES OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL TRACX’S AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM (OR, IF NO AMOUNTS WERE PAID, ONE HUNDRED U.S. DOLLARS). THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

13) Indemnification

You will defend, indemnify, and hold harmless TRACX and its affiliates, officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms or applicable law.

14) Suspension and termination

  • We may suspend or terminate access to the Services immediately for violations of these Terms, risks to the security or integrity of the Services, or as required by law.
  • You may stop using the Services at any time. Certain sections that by their nature should survive termination will survive (e.g., confidentiality, ownership, disclaimers, limitations, indemnities).

15) Export controls and sanctions

You agree to comply with all applicable export control and sanctions laws and not to use the Services in embargoed countries or by prohibited parties.

16) Governing law and disputes

These Terms are governed by the laws of your principal place of use of the Services or, if agreed in a separate order form, the laws of the specified jurisdiction, without regard to conflicts of law principles. The exclusive jurisdiction and venue for disputes will be the courts located in that jurisdiction, unless otherwise required by applicable law.

17) Changes to the Terms

We may update these Terms from time to time. Material changes will be notified via the Services or by email where feasible. Continued use after changes become effective constitutes acceptance of the updated Terms.

18) Miscellaneous

  • Entire agreement: These Terms and any order forms are the entire agreement regarding the Services.
  • Severability: If any provision is unenforceable, the remainder will remain in effect.
  • Assignment: You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Force majeure: Neither party is liable for failures due to events beyond reasonable control.
  • Notices: We may provide notices via email or through the Services.
